1. Acceptance of Terms

By accessing or using the Kraapht Bags Ltd website (kraaphtbags.com), creating an account, or placing an order, you agree to be bound by these Terms of Service. If you do not agree to these Terms, do not use the website or place an order.

2. Company Information

Kraapht Bags Ltd ("Kraapht Bags Ltd", "we", "us", or "our") is a company registered in the Republic of Ghana under the Companies Act, 2019 (Act 992), Registration No. CS126850822, TIN C0062045253, incorporated on 12 August 2022. Kraapht Bags Ltd operates from Accra, Ghana.

3. Products & Services

Kraapht Bags Ltd manufactures custom-printed, hand-made paper bags and paper food bowls to order, using materials including chromo coat, brown card, and brown paper, in a range of sizes, colours, and print finishes. All products are made to order following the specifications, quantities, and artwork provided at the time of ordering. The minimum order quantity is 200 units per design or size — see Section 4 for full ordering details.

4. Ordering, Pricing & Delivery

4.1 Orders

Orders are placed through the Kraapht Bags Ltd website (kraaphtbags.com) via the online order form. All products are made to order; the minimum order quantity is 200 units per design/size. By submitting an order, you confirm that the specifications provided (quantity, paper type, size, print colours, and any uploaded artwork) are correct.

4.2 Quotes

Quotes generated through the website are valid for 14 days from the date of issue. Kraapht Bags Ltd reserves the right to revise pricing, fees, and discount thresholds at any time; quotes that have expired must be regenerated and may reflect updated pricing.

4.3 Pricing

All prices are quoted in Ghanaian Cedis (GH¢). Final pricing depends on the materials, print colours, quantity, and any applicable fees, which may include a design fee, a die-cut board fee, and (for genuinely custom shapes) a custom die-cutting fee. Custom die-cutting fees are waived on repeat orders of the same design. Orders of 1,000 units or more receive a 5% discount on production cost (this discount does not apply to delivery charges). Kraapht Bags Ltd reserves the right to adjust these fees and discount terms at its discretion. Kraapht Bags Ltd is not currently VAT-registered, and VAT is not charged on orders; this section will be updated if that changes.

4.4 Payment

All payments are processed exclusively through Paystack (card and mobile money). Kraapht Bags Ltd does not accept cash on collection or any payment method outside Paystack. A deposit of 50% of the total order value is required at checkout to confirm the order. The remaining balance must be paid in full before the order is dispatched.

4.5 Production Timeline

Production begins one business day after your deposit is received. Payments made on a Saturday will have production begin the following Monday. Estimated production turnaround for your order is provided on the website at the time of ordering.

4.6 Outstanding Balances

If the outstanding balance remains unpaid, Kraapht Bags Ltd will send a written reminder at least 30 days before the three-month deadline, giving you a final opportunity to pay. If the balance remains unpaid three months from the scheduled dispatch date, Kraapht Bags Ltd may dispose of the materials and completed goods, and the deposit paid will not be refunded.

4.7 Delivery

For deliveries within Accra, a flat delivery fee of GH¢30 applies per order. For deliveries outside Accra, Kraapht Bags Ltd will typically arrange delivery through a third-party transport provider; the applicable delivery charge depends on the transport option available and is communicated to the customer in advance. In these cases, the customer pays the delivery charge directly to the third-party provider. Kraapht Bags Ltd does not currently offer in-person collection of orders, as it does not operate a permanent public office or pickup location.

5. Cancellations & Order Changes

5.1 Changes Before Production Begins

Order changes (quantity, paper type, size, print colours) requested before production has begun will generally be accommodated at no extra charge, provided materials for the original specification have not yet been purchased or cut. If materials matching the original order have already been purchased or cut, and the requested change would render them unusable, the customer will be charged for the cost of those materials.

5.2 Changes or Cancellations After Production Has Started

Once production has started — including the purchase of materials, the cutting of paper, or the creation of printing plates or dies — an order may still be changed or cancelled, but the customer will be charged for the cost of any materials, plates, dies, or completed work that must be discarded, replaced, or redone as a result.

5.3 Refund of Deposit on Cancellation

If you cancel before production has begun (Section 5.1), your deposit is refunded in full, less any payment processor, bank, or mobile money charges incurred on the original transaction. If you cancel after production has begun (Section 5.2), your deposit is refunded less the cost of any materials, plates, dies, or completed work already committed to your order, and less any payment processor, bank, or mobile money charges — if these costs equal or exceed the deposit, no refund is due.

5.4 Kraapht Bags Ltd Unable to Fulfil an Order

If Kraapht Bags Ltd is unable to fulfil an order as specified (for example, due to a material shortage), the available options — which may include a full refund, a revised quote or timeline, or a substitute material of comparable quality — will be communicated to the customer, and the order will proceed based on the customer's choice.

6. Customer Artwork & Intellectual Property

6.1 Ownership of Customer Artwork

Any artwork, logos, or designs you upload or submit to Kraapht Bags Ltd for printing remain your property. Kraapht Bags Ltd does not claim ownership of your artwork.

6.2 Use of Uploaded Files

Files you upload are used solely to produce your order as specified. Kraapht Bags Ltd will not use your artwork for any purpose beyond fulfilling your order, except as described in Section 6.3.

6.3 Use of Finished Product Images

Kraapht Bags Ltd retains the right to photograph finished products — including products bearing your artwork or branding — and use those images on its website, marketing materials, and social media, for the purpose of showcasing our work. This right applies to all orders, except where you tell us in writing at the time of ordering that the order is for a funeral, memorial, or other private/sensitive occasion — in which case we will not photograph or publish images of that order without your separate written consent.

6.4 Responsibility for Artwork Rights

You are solely responsible for ensuring that any artwork, logo, text, or other content you submit does not infringe the intellectual property rights of any third party. Kraapht Bags Ltd reproduces only what is provided by the customer and accepts no liability for infringement arising from submitted artwork. You agree to indemnify and hold Kraapht Bags Ltd harmless against any claims, damages, or costs arising from artwork you submit.

7. Account Registration & Security

7.1 Account Requirement

Placing an order on kraaphtbags.com does not require you to create a password-protected account — you can complete checkout by providing your name, email address, and phone number at the time of ordering. Your order details are then associated with that email/phone so you can look up your order status and history from the "My Account" page at any time, without a separate sign-up step. If you'd like a saved login for faster future ordering, you're welcome to set one up, but it is optional.

7.2 Registration Information

Whether you order as a guest or set up a saved login, you must provide accurate information — including your name, email address, and phone number — and keep this information up to date, since it's how we communicate with you about your order.

7.3 Account Security

Where you do set up a saved login, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify Kraapht Bags Ltd immediately at kraaphtbags@gmail.com if you suspect unauthorized use of your account.

7.4 Eligibility

You must be at least 18 years old to place an order. If you are under 18, the site may only be used with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms.

8. Quality & Returns

8.1 No Returns for Custom Goods

Because all products are made to order to your specifications, orders are not eligible for return or refund except where the product is defective, as described below.

8.2 What Counts as a Defect

A defect includes wrong print (print that does not match the approved order specification) and goods damaged in transit. Colour variation within normal printing tolerance, and errors in the artwork or specifications you provided, are not considered defects.

8.3 Reporting a Defect

You must report a defect within 24 hours of delivery by contacting kraaphtbags@gmail.com or WhatsApp +233 558 619 224, with a description and photo of the issue.

8.4 Remedy

Verified defects are corrected in the next production run at no additional cost to you. If you told us a specific event or delivery deadline when you ordered, and a reprint cannot reasonably be completed and delivered before that date, you may choose a refund of the amount paid for the affected order instead of a reprint. 9. Limitation of Liability

9.1 Liability Cap

To the maximum extent permitted by law, Kraapht Bags Ltd's total liability to you arising from or relating to an order is limited to the amount you paid for that order.

9.2 Exclusion of Indirect Damages

Kraapht Bags Ltd is not liable for indirect, incidental, special, or consequential damages, including loss of profits, loss of business, or reputational harm, arising from your use of the website or your order.

9.3 Force Majeure

Kraapht Bags Ltd is not liable for delays or failures in production or delivery caused by events beyond its reasonable control, including power outages, material shortages, natural disasters, civil unrest, or government action.

9.4 Third-Party Delivery

Where delivery is arranged through a third-party transport provider (Section 4.7), Kraapht Bags Ltd is not liable for that provider's handling, timeliness, or delivery of your order once it has been handed over to them. Any dispute regarding third-party delivery is between you and the transport provider.

10. Governing Law & Disputes

10.1 Governing Law

These Terms are governed by the laws of the Republic of Ghana.

10.2 Informal Resolution

Before initiating mediation or arbitration, the parties agree to first attempt to resolve any dispute informally by contacting Kraapht Bags Ltd at kraaphtbags@gmail.com.

10.3 Mediation

If a dispute is not resolved informally within 30 days, the parties agree to submit the dispute to mediation in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798) of Ghana, before pursuing arbitration or litigation.

10.4 Arbitration

If mediation does not resolve the dispute, it will be referred to and finally resolved by arbitration in Accra, Ghana, in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798). The arbitrator's decision is final and binding on both parties.

10.5 Urgent Relief

Nothing in this section prevents either party from seeking urgent injunctive relief from the courts of Ghana where necessary to protect its rights.

11. Changes to These Terms

Kraapht Bags Ltd may update these Terms at any time. Changes take effect once posted on kraaphtbags.com. Continued use of the website or placement of an order after changes are posted constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
